Terms of service
The terms under which we provide marketing and advertising services.
1. Scope
These terms apply to all services provided by Veret et Rouge DV LLC ('the Company') to business clients. Individual written proposals and order confirmations take precedence over these terms where they differ.
2. Services
The Company provides marketing management, advertising and paid media, social media and consulting services. The specific deliverables, volumes and timelines are defined in the accepted written proposal.
3. Fees and payment
Retainers are billed monthly in advance in USD. Invoices are payable within 14 days of the invoice date by bank transfer. Advertising media budgets are paid by the client directly to the advertising platforms and are not part of the fee. All prices are net of applicable taxes.
4. Term and termination
Retainers run for a minimum term of three months and continue thereafter until terminated by either party with 30 days' written notice to the end of a calendar month. Either party may terminate for cause with immediate effect in the event of a material breach.
5. Client obligations
The client provides the information, access, brand materials and approvals required for the Company to perform the services, and warrants that materials it supplies do not infringe third-party rights.
6. Intellectual property
Rights to deliverables produced specifically for the client transfer to the client upon full payment. The Company retains rights to its own methods, templates and pre-existing materials.
7. Confidentiality
Both parties keep confidential all non-public information received from the other party and use it only for the purpose of the engagement.
8. Liability
The Company is liable for intent and gross negligence without limitation. For simple negligence, liability is limited to foreseeable damage typical for this type of contract and, in total, to the fees paid in the twelve months preceding the event. The Company does not guarantee specific advertising results, rankings or revenue figures.
9. Governing law
These terms are governed by the laws of the State of Wyoming, United States, excluding conflict-of-law rules. Mandatory consumer protection provisions remain unaffected where applicable.
